The Macerich Company (the Company) previously filed a Registration Statement on Form S-8 with the Securities and Exchange Commission (the Commission) on August 25, 2003 (File No. 333-108193) (the Original Filing) in connection with The Macerich Company Employee Stock Purchase Plan (as amended and restated, the Plan). This Registration Statement registers additional shares of the Companys common stock, par value $0.01 per share (Common Stock), to be issued pursuant to the Plan. The contents of the Original Filing, as updated by the information set forth below, are incorporated by reference into this Registration Statement pursuant to General Instruction E of Form S-8.

We have served as Maryland counsel to The Macerich Company, a Maryland corporation (the Company), in connection with certain matters of Maryland law arising out of the registration of up to 500,000 shares (the Shares) of common stock, par value $0.01 per share, of the Company (the Common Stock), issuable under The Macerich Company Employee Stock Purchase Plan (as amended and restated, the Plan). The Shares are covered by the above-referenced Registration Statement, and all amendments thereto (the Registration Statement), filed by the Company with the United States Securities and Exchange Commission (the Commission) under the Securities Act of 1933, as amended (the 1933 Act).

1. The Company is a corporation duly incorporated and existing under and by virtue of the laws of the State of Maryland and is in good standing with the SDAT.
2. The issuance of the Shares pursuant to the Plan has been duly authorized and, when and to the extent issued and delivered by the Company in accordance with the Registration Statement, the Resolutions and the Plan, the Shares will be validly issued, fully paid and nonassessable.
The foregoing opinion is limited to the laws of the State of Maryland and we do not express any opinion herein concerning any other law.
